Terms of Service — Memotiva

1. Acceptance of Terms

By registering on or using the Memotiva platform (the "Service"), you agree to these Terms of Service in full. If you disagree with any part of these terms, you may not use the Service. The Service is provided by Memotiva ("we", "us", or "our").

2. Description of Service

Memotiva is an audio-based learning platform that allows users to record, upload, and review educational audio content using spaced-repetition techniques. The Service includes tools for transcription, flashcard generation, playlists, and a public content library (Library).

3. Eligibility

You must be at least 13 years of age to use the Service. By using the Service you represent and warrant that you meet this requirement. If you are under 18, you must have parental or guardian consent.

4. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

5. Acceptable Use

You agree not to: (a) upload, share, or distribute content that infringes any third-party intellectual property rights; (b) post unlawful, harmful, harassing, defamatory, obscene, or otherwise objectionable material; (c) use the Service for any commercial purpose without our prior written consent; (d) attempt to gain unauthorized access to any part of the Service; (e) use automated tools to scrape, crawl, or harvest data from the Service; (f) interfere with or disrupt the integrity or performance of the Service.

6. User-Generated Content (UGC)

You retain ownership of content you create and upload ("Your Content"). By uploading Your Content, you grant Memotiva a non-exclusive, worldwide, royalty-free license to store, process, display, and transmit Your Content solely for the purpose of providing the Service. You represent and warrant that: (a) you own or have the necessary rights to Your Content; (b) Your Content does not violate any third-party copyright, trademark, or other intellectual property rights; (c) Your Content complies with all applicable laws. You are solely responsible for Your Content and any consequences of sharing it.

7. Prohibited Content

The following content is strictly prohibited on the Service: copyrighted material uploaded without proper authorization; content promoting hatred, discrimination, or violence; personal data of third parties shared without consent; misleading, fraudulent, or spam content; and any content that violates applicable local or international laws.

8. Copyright & Intellectual Property

All platform content created by Memotiva — including but not limited to software, design, logos, text, and generated summaries — is owned by or licensed to Memotiva and is protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of platform content without our express written permission. Users are prohibited from copying and distributing other users' published materials without their explicit consent.

9. Account Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, if we believe you have violated these Terms of Service, applicable law, or if your actions may cause harm to other users or to the Service. You may delete your account at any time via the Settings page.

10. Subscription and Payments

Some features of the Service require a paid subscription. Subscription fees are billed in advance. All purchases are final and non-refundable except where required by applicable law. We reserve the right to change subscription prices with 30 days' notice.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Educational content on the platform is provided for informational and educational purposes only and should not be relied upon as professional advice.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Memotiva shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill arising from your use of or inability to use the Service. Our total liability to you for any claim arising from these Terms shall not exceed the amount paid by you to Memotiva in the 12 months preceding the claim.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the jurisdiction in which Memotiva operates.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or by posting a notice on the Service. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
